These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Haylo Healthcare Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at No. 292/1A, 293/1A, Chennai Road, Bramhapuram, Vellore – 632014, Tamil Nadu, India (hereinafter referred to as "Company", "Haylo", "we", "us", or "our").
These Terms govern your access to and use of the Haylo Onkos platform, including the website located at haylohealthcare.co and all associated services (collectively, the "Platform") and the psycho-oncology teleconsultation services facilitated through the Platform ("Services").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
1.Nature of the Platform
- The Platform is a digital technology intermediary that facilitates connections between Users and independent psycho-oncology professionals ("Clinicians").
- The Company does not provide medical advice, diagnosis, or treatment and does not operate as a healthcare provider.
- The Services consist of enabling discovery, booking, payment processing, and video-based teleconsultation between Users and Clinicians.
- All Clinicians available on the Platform are independent professionals and are neither employees nor agents of the Company.
2.Eligibility
- You must be legally competent to contract under applicable law to use the Platform.
- If you are below the age of eighteen (18) years, you may access the Platform only with the consent of a parent or legal guardian.
- The Company reserves the right to suspend or terminate access if eligibility requirements are not met.
3.User Account and Registration
- You may be required to create an account or authenticate using third-party login credentials.
- You agree that all information provided during registration is true, accurate, and complete.
- You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
- The Company shall not be liable for any unauthorized access resulting from your failure to safeguard your credentials.
4.Services and Booking
- The Platform enables Users to discover and book teleconsultation sessions with Clinicians.
- All consultations are conducted through digital means, including encrypted video interfaces integrated into the Platform.
- The Company does not guarantee availability of any specific Clinician or time slot.
- The Company may, at its discretion, modify or discontinue any aspect of the Services.
5.Payments and Fees
- Users agree to pay all applicable fees for Services booked through the Platform.
- The total amount payable may include the session fee determined by the Clinician, a convenience fee, and applicable taxes.
- Payments are processed through third-party payment aggregators, and the Company shall not be liable for any failure or error in such payment systems.
- Unless otherwise required by applicable law, all payments are non-refundable, except where the Company determines otherwise on a case-by-case basis.
- The Company reserves the right to revise pricing, fees, and charges at any time.
6.Marketplace Role and Limitation of Responsibility
- The Company operates solely as an intermediary platform connecting Users and Clinicians.
- The Company does not control, supervise, or influence the professional judgment or services provided by Clinicians.
- Any contract for services is strictly between the User and the Clinician.
- The Company shall not be responsible for the quality, effectiveness, or outcome of services provided by Clinicians.
7.User Conduct
- You agree to use the Platform only for lawful purposes and in compliance with applicable laws.
- You shall not misuse the Platform, attempt unauthorized access, transmit harmful code, or interfere with system integrity.
- You shall not impersonate any person or misrepresent your identity.
- The Company reserves the right to suspend or terminate access for any violation of this clause.
8.Intellectual Property
- All intellectual property rights in the Platform, including software, design, text, and trademarks, are owned by or licensed to the Company.
- You are granted a limited, non-exclusive, revocable license to use the Platform for personal purposes in accordance with these Terms.
- You shall not copy, reproduce, distribute, or exploit any part of the Platform without prior written consent.
9.User Content
- You may submit content, including feedback or communications, through the Platform.
- You retain ownership of such content but grant the Company a non-exclusive, royalty-free, worldwide license to use it for operational purposes.
- You represent that your content does not violate any applicable laws or third-party rights.
10.Privacy and Data Protection
- The Company collects and processes personal data in accordance with applicable laws, including the Digital Personal Data Protection Act, 2023, and the Information Technology Act, 2000.
- By using the Platform, you consent to such collection and processing of your personal data in accordance with the Privacy Policy.
- While the Company implements reasonable security measures, it does not guarantee absolute data security.
11.Medical Disclaimer
- The Platform facilitates access to psycho-oncology professionals but does not provide medical or clinical services.
- All advice, consultation, and treatment are provided solely by independent Clinicians.
- The information and services available on the Platform are not a substitute for in-person medical evaluation, diagnosis, or treatment.
- You acknowledge that any reliance on consultations or information provided through the Platform is at your own risk.
- The Company does not guarantee the accuracy, completeness, or effectiveness of any advice or treatment provided by Clinicians.
- The Platform is not intended for medical emergencies, and you must immediately seek appropriate medical assistance in such cases.
- The Platform is not a suicide prevention or crisis intervention service, and users in distress must contact appropriate emergency services or helplines.
12.Limitation of Liability
To the maximum extent permitted by applicable law, the Company, its directors, officers, employees, agents, affiliates, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, or business interruption, arising out of or in connection with the Platform, the Services, any Clinician, or these Terms, even if advised of the possibility of such damages.
The Company shall not be liable for any act, omission, negligence, professional judgment, advice, diagnosis, treatment, conduct, or communication of any Clinician, and all responsibility for clinical care shall rest solely with the Clinician concerned.
The Company shall not be liable for any loss or damage arising from any inaccurate, incomplete, false, misleading, or fraudulent information supplied by a User or Clinician, or from any misuse of the Platform, including use contrary to the Medical Disclaimer, emergency disclaimer, or user eligibility conditions.
To the fullest extent permitted by law, the aggregate liability of the Company for any and all claims arising out of or in connection with a particular Service shall not exceed the amount actually retained by the Company as platform commission in respect of that Service, and in no event shall the Company be liable for any amount greater than the lesser of: (a) the amount of platform commission retained; or (b) the fee paid by the User for the relevant Service.
13.Indemnity
You agree to indemnify and hold harmless the Company, its directors, employees, and affiliates from any claims, damages, or liabilities arising out of your use of the Platform, violation of these Terms, or interactions with Clinicians.
14.Suspension and Termination
- The Company may suspend or terminate your access to the Platform at its discretion, including for violation of these Terms or applicable laws.
- You may discontinue use of the Platform at any time.
15.Modifications to Terms
- The Company reserves the right to update or modify these Terms at any time.
- Continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
16.Governing Law and Jurisdiction
- These Terms shall be governed by the laws of India.
- Courts located in Tamil Nadu shall have exclusive jurisdiction over disputes arising from these Terms.
